This Vendor Agreement is made and entered into as of date submitted, by and between Kent Pride, located in Kent, Ohio and “Vendor”. The event will take place at Acorn Alley, Kent, Ohio 44240, on June 13th, 2026, from 11:00 AM to 6:00 PM. The Event Organizer agrees to provide the Vendor with a designated indoor space to set up and operate their table during the event. The Vendor agrees to operate only within the assigned space and to maintain the area in a safe, clean, and professional manner at all times. Vendor setup may begin at 9:00 AM and must be completed by 10:30 AM. Following the conclusion of the event, the Vendor will have one (1) hour to remove all merchandise, displays, and trash from their designated area. Failure to fully clear the space may result in additional cleanup or disposal fees charged by the Event Organizer.The Vendor agrees to pay a non-refundable vendor fee of $30 / $40 upon acceptance of this Agreement. Payment is due within seventy-two (72) hours of acceptance. The Vendor must include their business name with all payments. Accepted payment methods include Venmo (@AcornAlleyKent) or cash delivered to Sun in Leo in Acorn Alley, Kent, Ohio. All cash payments must be sealed in an envelope clearly labeled with the Vendor’s business name. Failure to submit payment within the required timeframe may result in forfeiture of the Vendor’s space.The Vendor represents and warrants that all products or services offered for sale comply with all applicable federal, state, and local laws and regulations and are of good quality. All merchandise and materials must be removed from the event premises no later than 7:00 PM on the event date.The Vendor agrees to indemnify, defend, and hold harmless the Event Organizer, its officers, employees, and agents from any and all claims, damages, losses, liabilities, costs, or expenses, including reasonable attorney fees, arising out of or related to the Vendor’s participation in the event.The Vendor agrees to comply with all applicable laws, regulations, and health and safety guidelines during the event. Unlawful consumption of alcohol or marijuana on the event premises is strictly prohibited.The Vendor is solely responsible for obtaining any permits, licenses, or approvals required to operate their business at the event and agrees to provide copies of such documentation to the Event Organizer upon request.The Vendor agrees to carry and maintain appropriate general liability insurance coverage for the duration of the event and shall provide proof of insurance upon request by the Event Organizer.All vendor fees are non-refundable. In the event the Vendor is unable to attend the event, the Vendor must notify Acorn Alley immediately. The Event Organizer reserves the right to remove any Vendor for violation of this Agreement without refund.This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio.
